PART III -- NARRATIVE
State below in reasonable detail the reasons why Forms 10-Q, 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report portion thereof, could not be filed within the prescribed time period.
Capstone Green Energy Holdings, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the fiscal year ended March 31, 2024 (the “Annual Report”) without unreasonable effort and expense. The Company needs additional time because the Company is still in the process of compiling information necessary to complete the Annual Report, and Marcum LLP (“Marcum”), the Company’s independent registered public accounting firm, requires additional time to complete its audit of the consolidated financial statements as of and for the year ended March 31, 2024 to be incorporated in the Annual Report once the Company has completed its preparation. The delays are attributable in large part to the fact that management has had to devote significant time and attention to (i) the restatement of the Company’s consolidated financial statements as of, and for the fiscal years ended March 31, 2022 and March 31, 2021, as well as the relevant unaudited quarterly financial information for the quarterly periods ended June 30, 2021, September 30, 2021, December 31, 2021, June 30, 2020, September 30, 2020, and December 31, 2020 (the “Restatement”), and (ii) the Company’s efforts to file its Annual Report on Form 10-K/A for the fiscal year ended March 31, 2022 and Annual Report on Form 10-K for the fiscal year ended March 31, 2023, , each filed with the Securities and Exchange Commission (the “SEC”) on June 13, 2024, as well as the Quarterly Reports on Form 10-Q for the periods ended June 30, 2023, September 30, 2023 and December 31, 2023 (the “Quarterly Reports”).
Although it is the Company’s goal to file the Annual Report no later than the fifteenth calendar day following the prescribed filing date (the “Extension Period”), there can be no assurance that the Company will be able to do so.
