Capstone trades under the ticker symbol CGEH on the OTCQX® Best Market, the highest tier of the OTC Markets Group. Shares began trading on the OTCQX on September 26, 2025.

What was Capstone’s previous trading status?
On January 2, 2025, Capstone’s shares were first quoted on the OTC Pink Open Market under the ticker CGEH. This served as an initial step after restructuring before advancing to the OTCQX Best Market.

What are Capstone’s future plans?
Capstone views the OTCQX listing as a milestone but remains focused on long-term growth. The Company’s ultimate goal is to pursue a future listing on a national securities exchange such as the NYSE or Nasdaq.

With the conclusion of the bankruptcy court proceedings, all existing common shares of Capstone Green Energy Corporation have been canceled. Stockholders have been issued one (1) share of common stock of Capstone Green Energy Holdings, Inc. for each canceled share of common stock of Capstone Green Energy Corporation.

Capstone Green Energy Corporation (formerly traded under CGRN/CGRNQ) was dissolved as part of its Chapter 11 restructuring on December 7, 2023, which resulted in the permanent delisting of those ticker symbols.

Following the restructuring, all eligible stockholders received new shares of Capstone Green Energy Holdings, Inc. on a one-for-one basis. If you previously held CGRN/CGRNQ shares, they were automatically converted into CGEH shares - no action was required on your part.

We were organized in 1988 under the Capstone Turbine Corporation name. On June 22, 2000, we reincorporated as a Delaware corporation.

Capstone Green Energy Corporation (“Old Capstone”) became a public company on June 29, 2000, as Capstone Turbine Corporation trading on the NASDAQ Capital Market under the ticker symbol CPST. Capstone Turbine Corporation became Capstone Green Energy Corporation and the ticker symbol was changed to CGRN on April 22, 2021. On October 5, 2023, Old Capstone was officially delisted from the Nasdaq Capital Market. As a result of a Chapter 11 restructuring, on December 7, 2023 (the “Effective Date”),  Old Capstone was renamed “Capstone Distributor Support Services Corporation” and became a privately owned company. On the same date, Old Capstone’s subsidiary, Capstone Turbine International, was renamed Capstone Green Energy Holdings, Inc., and is the successor to Capstone Green Energy Corporation for purposes of SEC reporting. On the Effective Date, New Capstone issued shares of common stock pro rata to each holder of common stock of Old Capstone.

As of October 17, 2024, New Capstone has become compliant with its filings in accordance with SEC regulations and has initiated the process of applying for the trading of its common stock on an over-the-counter market.

  • On November 9, 2015 Old Capstone effected a one-for-twenty reverse stock split.
  • On October 22, 2019 Old Capstone effected a one-for-ten reverse stock split.

New Capstone has not effected a stock split since the Effective Date.

  • The First quarter begins on April 1 and concludes on June 30
  • The Second quarter begins on July 1 and concludes on September 30

  • The Fourth quarter begins on January 1 and concludes on March 31

Capstone Green Energy is classified as a Smaller Reporting Company and non-accelerated filer by the SEC, whereas the quarterly 10-Q must be filed within 45 days of the end of a quarter, and the annual 10-K must be filed within 90 days of the fiscal year which is March 31st. The earning calls are held prior to the filing of the 10-Q or 10-K and are announced via a press release, generally two weeks prior to the earnings release date.

Typically, Capstone Green Energy Holdings, Inc holds its Annual Meeting of Stockholders in late August or early September. Stockholders are informed of the date, time and location by Proxy that is distributed in advance of the meeting, and a notice is placed on the Investor Relations section of the Company website.
